Working together with our Associates who fill the role of resident Conducting Person, we provide material and logistical infrastructure and the support of experienced staff to ensure UCITS III compliance.

In response to the increasing scrutiny of shareholders and regulators, the roles of Director and conducting person are becoming more complex and time consuming.  Directors and conducting persons are now required to be experts across a wide range of investment, risk, operational and compliance areas.

We provide domiciliation services to institutions looking for high level governance services such as management committees, investment committees, supervisory committees etc in addition to the classical company secretarial services and duties.

We provide introductions to our Associates who have the necessary experience and infrastructure to take on these challenges and who are able and qualified to be mandated either as independent directors or conducting persons or to assume other oversight roles for investment and management companies.

RISK MANAGEMENT

The Group The Directors' Office - a unique risk management process

Our team of CFA and GARP qualified Risk Managers produce tailor made, regular quantitative and qualitative reports covering:

  • market risk, including interest rate risk, currency risk, liquidity risk and credit exposure.
  • credit risk including counterparty risk

and

  • operational risk including settlement risk, valuation risk, distribution risk and other delegated operational risks (depository, investment manager, transfer agent, fund administration etc

The Directors' Office Private Roundtable - an exclusive forum for senior fund practitioners

The Group of The Directors' Office runs an annual Private Roundtable event for our clients and their key service providers.

The Private Roundtable aims to provide a forum where senior fund practitioners can address the key questions that face them in the execution of their duties.

Attendance is by invitation only and the delegates are primarily members of the boards and conducting persons of fund companies as well as key representatives from their service providers thus ensuring meaningful, high level discussions.

announce the upcoming merger of their companies to create a single entity called

News from the Group The Directors' Office - CSSF issues Circular 07/308 on Risk Management & the Uses of Derivatives

On 2nd August 2007 the CSSF issued a key circular on financial risk management and the use of derivative instruments by UCITS.  The Circular, which expands upon, clarifies and replaces Circular 05/176, is to be implemented by all UCITS vehicles by the end of this year at the latest. Read more...
